Contract Agreement
By and Between
Glaster & Associates (Jacqueline Glaster)
And

THIS AGREEMENT is by and between __________________________________
(hereafter “Client”) having a principal place of business at ______________________ and Jacqueline Glaster (hereafter “Consultant”) to perform the services set forth below.
Article I. Term
This Agreement is entered into as of _____________________. It shall continue in effect through_____________or completion of selected sessions as outlined in Article III unless terminated earlier in accordance with Article VII.
Article II. Services
Consultant shall provide expert professional services including, but not necessarily limited to the following:
- Provide coaching sessions consisting of various topics as listed in Contract Agreement Attachment (Program Outline) to enhance the development of the client in the area of nonprofit organizational leadership (or leadership in other areas relevant to the material).
- Recommend and assist client with self-paced training and development as agreed between Client and Consultant to include, but not limited to Section II & III of the Program Outline Attachment.
- Provide additional Training at agreed fee rate including, but not limited to Section IV of Program Outline Attachment that supports the development of the organization/leader as requested by the Client and agreed upon by both parties within the areas of expertise of the Consultant.
Additional services are arranged based on availability of Leadership Coach.
Reimbursement of appropriate expenses for on-site or phone consultations are mutually agreed on between the Client and Consultant.
- Rate. For Services rendered satisfactorily pursuant to the terms and conditions of this agreement, Consultant shall be compensated as follows:
- $440.00 for full program, which includes eight (8) sessions and additional limited email contacts per session.
- $220.00 for 4 monthly 45 minute sessions (phone or on-site) of additional continued coaching
- $110.00 for 8 emails per month (limited to 20 minutes/reply)
- $60.00 per coaching session (approximately 45 minutes per session).
- Additional fees for services listed in Section IV of Program Outline based on $60.00/45 min. rate or $80.00/hr.
- Consultant’s Invoices. Client shall pay on-line through Paypal or credit card for all on-line sessions. Consultant shall prepare and send to the Client hourly or monthly invoices for payment of on-site or phone sessions which shall, at the least, include the following information: (i) the date(s) upon which services were performed; (ii) a summary description of the services performed; (iii) the time taken to perform the services; and (iv) detailed descriptions of cost reimbursements (if any) sought for the period covered by the invoice. Client shall have the option of submitting payment via Paypal, credit card or check for on-site and phone consulting.
- Payment Schedule. For each hourly or monthly invoice prepared and submitted in satisfactory form for on-site or phone consultations, the Client will make payment within 5 business days of receipt. On-line payments through Paypal are required before each session or full payment for the complete 8-session program.
- Responsibility for Taxes. Because Consultant is an independent contractor, the Client shall not withhold any amount for any tax or other withholdings from any sums due Consultant under this agreement.
Article IV. Costs and Expenses
All costs and expenses incurred by Consultant in the performance of this agreement shall be borne solely by Consultant (unless mutually agreed upon reimbursements apply as set forth in Article III above).
Article V. Intellectual Property Rights
Consultant agrees that the Work Product, copyright and other intellectual property rights (as applicable) designed specifically for the Client and the organization he/she represents are hereby assigned and shall belong to the Client. Client agrees that the copyright and other intellectual property rights and Work Product in and designed by the Consultant for general purposes and used by the Client shall belong to the Consultant. “Work Product” for purposes of this provision means all writings, data, graphics and other materials and information created and used during the term of this agreement and thereafter.
Article VI, Confidentiality
Consultant warrants and represents that he/she and any employees and/or agents of Consultant shall retain all information belonging to the Client in strictest confidence and will neither use nor disclose said confidential information to any third party without the consent of the Client.
Article VII. Termination of Agreement
- Automatic Termination. This agreement shall terminate automatically on the occurrence of either of the following:
- Insolvency of Consultant or Client;
- Death or incapacity of Consultant or Client (to the extent that services cannot be performed).
- Termination Upon Notice. The Client or Consultant may terminate this agreement at anytime and for any reason upon a two week written notice or nonpayment of on-line session.
- Compensation Upon Termination. Upon termination, if Consultant is not in default, Consultant shall be compensated for services satisfactorily performed for on-line and phone consultations up to the effective date of termination upon submission of invoice by Consultant payable according to Article III, Sec. C.
- Prepaid on-line sessions are received and completed by the Client at his/her desired pace. It is recommended that each on-line session be completed within a two week to one month time period to achieve more effective results.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the date set forth in Article I.
